1. Who we are

PriceKy ("PriceKy", "we", "us", "our") is operated by N3XU® – Social Independent Lab & Think Tank("N3XU"). When you use PriceKy, you are entering into a contract with N3XU. You can reach us at contact@tools4humanity.com or via https://n3xu.org.

2. Acceptance of these Terms

By creating an account, accessing, or continuing to use PriceKy, you agree to be bound by these Terms. If you do not agree, do not use the service. If you use PriceKy on behalf of an organization, you confirm you have authority to bind that organization. If you use PriceKy as an individual, you confirm you are of legal age in your jurisdiction.

3. The service

PriceKy provides pricing intelligence, market comparison, and discoverability reports for digital products and services. Reports are generated using a combination of public data, third-party data sources, and generative AI models. Plans, features, and limits are described on our pricing page and may evolve over time.

4. Your account

You must provide accurate information when creating your account and keep it up to date. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

5. Acceptable use

You must not misuse PriceKy. In particular, you agree not to:

• Use the service for any unlawful, fraudulent, deceptive, or abusive purpose;
• Send spam, harvest data, or scrape the service without our written permission;
• Infringe the intellectual property, privacy, or other rights of any third party;
• Probe, scan, or test the vulnerability of the service, or interfere with its security;
• Upload malware, attempt to gain unauthorized access, or circumvent technical limits;
• Reverse engineer, decompile, resell, or redistribute the service or its outputs except as permitted by your plan.

6. Generative AI — your responsibilities

PriceKy uses generative AI to produce reports, summaries, and recommendations. You agree that:

• You are responsible for the prompts and inputs you provide, and for confirming you have the rights to any content you submit;
• You are responsible for how you use the outputs, including verifying their accuracy before relying on them;
• Outputs may be inaccurate, incomplete, or out of date and must not be treated as professional, financial, legal, tax, or investment advice;
• You will not use PriceKy to generate illegal content, deepfakes, hate speech, harassment, malware, or content designed to deceive consumers;
• You will not attempt to jailbreak, manipulate, or extract the underlying models or prompts.

We may remove or restrict content, refuse or filter outputs, suspend accounts, and respond to takedown notices from rights-holders. Repeated infringement may result in termination.

7. Informational use only — no professional advice

Pricing recommendations, market comparisons, and discoverability scores produced by PriceKy are for general informational and educational purposes only. They are not financial, investment, legal, tax, or business advice, and they are not a recommendation to buy, sell, or set any particular price. Pricing decisions are yours alone.

8. Intellectual property

PriceKy, including the software, models, documentation, branding, and all related intellectual property, is owned by N3XU or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable right to use the service within the limits of your plan. You retain ownership of the inputs you submit, and you grant us a limited license to host and process them solely to provide the service.

9. Payments, billing, and subscriptions

Payments are processed securely by our payment processor, Stripe. Card details are submitted directly to Stripe and are never stored on our servers. Payment, billing, taxes, renewals, cancellations, and refund mechanics are governed by these Terms and our Refund Policy. Subscription plans renew automatically until cancelled. PriceKy is the seller of record for all orders and is responsible for customer service, tax compliance where applicable, and refunds.

10. Suspension and termination

We may suspend or terminate your access to PriceKy if you materially breach these Terms, fail to pay, create a security or fraud risk, or repeatedly violate our acceptable-use rules. You may stop using the service at any time by cancelling your subscription. On termination, your right to use the service ends; we may delete your data after a reasonable export window.

11. Warranties and service level

PriceKy is provided "as is" and "as available". We do not guarantee that the service will be uninterrupted, error-free, or that outputs will be accurate or fit for a particular purpose. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

12. Liability

To the fullest extent permitted by law, our aggregate liability arising out of or related to the service is limited to the fees you paid to us in the twelve (12) months preceding the event giving rise to the claim. We are not liable for indirect, consequential, incidental, special, or punitive damages, including loss of profits, revenue, data, or goodwill. Nothing in these Terms limits liability for fraud, death, or personal injury where such limitation is prohibited by law.

13. Indemnity

You agree to indemnify and hold N3XU harmless from claims arising out of your content, your use of the service, or your breach of these Terms.

14. Changes to the service or Terms

We may update PriceKy and these Terms from time to time. Material changes will be communicated by email or in-app notice. Continued use after changes take effect constitutes acceptance.

15. Governing law and disputes

These Terms are governed by the laws applicable to N3XU's place of establishment, without regard to conflict-of-laws principles. Disputes will be resolved in the competent courts of that jurisdiction, unless mandatory consumer law provides otherwise.

16. Miscellaneous

You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond reasonable control (force majeure). If any provision is unenforceable, the remaining provisions stay in effect.
